Communication with Financial Markets

InVision Software AG keeps shareholders, analysts and journalists continuously informed in accordance with uniform criteria.

All information is transparent to all players in the capital market. All ad-hoc notifications and press releases as well as overviews of press and analyst conferences are published immediately on the website of InVision Software AG. The executive board publishes insider information relating to the company immediately, unless it is exempted from the duty of disclosure in individual cases. Insiders are recorded on lists in accordance with legal regulations and instructed with regard to confidentiality. InVision Software AG issues reports four times a year according to a fixed financial calendar. Reports cover the development of the business as well as the asset, financial and profit situation of the company.

Information about the Annual Shareholders' Meeting such as invitations, agendas, annual accounts, articles of association and explanations relating to individual resolutions are also published on the company website on the day of the invitation. In addition, the website contains information about previous Annual Shareholders' Meetings and quarterly results for the previous trading year as well as those for past years.

The acquisition or sale of company shares or of financial instruments that relate to the company, in particular, derivatives, by members of the executive board and supervisory board of the company, and by individuals closely related to the members of these boards, are disclosed. They are published on the website as soon as this information becomes available.

In accordance with the German Transparency Directive Implementation Act (TUG), a notification duty applies to all listed companies in which the 3% voting right threshold is exceeded. Companies must also publish their obligatory notifications throughout Europe. InVision Software AG employs an appropriate service provider for this purpose.
